Any use of the Buyer’s Marks outside the time and quantity limits set out in the Order, including any sale of the products not be covered under the Order and / or surplus or rejected products shall amount to counterfeiting which the Buyer will prosecute. To this end, the Buyer and its representatives shall be granted free access to all the factories where the products are manufactured / stocked for inspection purposes. Products exceeding the quantities ordered by the Buyer or second choice products shall be destroyed by the Vendor in presence of a representative of the Buyer, unless otherwise expressly agreed by the Buyer in writing.
